Have CMS Subscription Offer

This document constitutes a public offer by the person specified on the “Company Details and Contacts” page (hereinafter, the “Provider”) to enter into an agreement for the provision of paid services on the terms set out below. Payment for an order on the cms.have.studio website or payment of an invoice issued by the Provider is deemed acceptance of this offer.

1. Subject of the Agreement

1.1. The Provider provides the Customer with subscription services: hosting and maintenance of a website on the Have CMS platform and operation of functional modules, and the Customer pays for them in the manner established by this Offer.

1.2. The services are sold as plans and modules:

1.3. The description, composition and cost of the plans and modules are published on the cms.have.studio website in the “Plans” and “Modules” sections. The prices stated there form an integral part of this Offer.

1.4. Website development is not within the subject of this Offer. Development is provided by Have Studio (have.studio) under a separate agreement and cost estimate.

2. Placing an Order

2.1. Orders are placed on the cms.have.studio website: the Customer selects a plan and/or modules and the subscription term, provides a name, email address, phone number and website address (if any), and confirms consent to this Offer and the Privacy Policy.

2.2. The agreement is deemed concluded upon payment for the order. Information about the order, its contents, amount, date and the Customer’s consent is retained by the Provider.

2.3. Immediately after payment, the Customer receives, on the confirmation page and in the customer dashboard at my.have.studio, the order number, access to the customer dashboard and an activation key for each purchased plan and module. The activation key confirms the purchase and is used by the Provider for activation.

2.4. The Provider activates the paid plans and modules within three business days from the date of payment. For activation, the Provider may request from the Customer access to the website or data required for a module to operate. The activation period is extended by the time during which the Customer has not provided what was requested.

3. Price and Subscription Term

3.1. The price of a plan or module is stated per one month of service for one website. The cost of an order is the sum of the prices of the selected plan and modules multiplied by the subscription term.

3.2. A subscription is taken out for one, three, six or twelve months. Payment for three months carries a 10% discount, for six months 15%, and for twelve months 20%. The total amount is shown before payment.

3.3. The billing period ends on the 30th day of the month, and in February on the last day of the month. The days from payment until the nearest billing day are provided free of charge and are used for activation; the paid term of the selected duration begins on that billing day.

3.4. The Provider may change prices by publishing new prices on the website. For an active subscription, the new price applies from the next paid period, of which the Customer is notified no later than thirty days in advance.

4. Payment Procedure

4.1. An order is paid in advance for the entire selected term.

4.2. Payment methods: bank card, including cards issued outside the Russian Federation; the Faster Payments System (SBP); cryptocurrency; for legal entities and individual entrepreneurs, payment by invoice. Card, SBP and cryptocurrency payments are accepted by a payment service; card and crypto wallet details are not transferred to the Provider.

4.3. Prices are stated in Russian rubles (RUB). When paying with a card issued in another currency, the conversion rate is determined by the bank that issued the card; when paying with cryptocurrency, the amount due and the conversion rate are shown by the payment service before the payment is confirmed.

4.4. The Customer’s payment obligation is deemed fulfilled when the funds are credited to the Provider.

5. Renewal and Suspension

5.1. There is no automatic charging. The subscription is renewed for the next term upon payment of an invoice that the Provider generates in the customer dashboard five days before the end of the paid term.

5.2. If payment has not been received by the end date of the term, the Provider grants a grace period of seven calendar days, during which the services are provided in full.

5.3. After the grace period expires, the Provider may suspend the operation of the modules, while keeping the website hosted and accessible, and notify the Customer thereof.

5.4. If no payment is received within thirty days from the end date of the paid term, the Provider may terminate the agreement after first transferring the website content and files to the Customer.

5.5. The Customer may opt out of renewal at any time via the customer dashboard or by writing to the Provider’s email address. In that case, the paid term is served in full.

6. Refunds

6.1. If the Provider has not activated a paid plan or module within ten business days from the date of payment for reasons beyond the Customer’s control, the Customer is entitled to a full refund of the cost of that plan or module.

6.2. Before activation, the Customer may cancel the order and receive a full refund.

6.3. After activation, the Customer may withdraw from the services at any time. The Provider refunds the amount paid less the cost of the months used, calculated at the price without the subscription-term discount, and less the expenses actually incurred — the cost of domain services and certificates paid for in advance. A partial month counts as used.

6.4. A refund request is sent to the Provider’s email address, stating the order number. The refund is made within ten business days from the date the request is received, using the same method by which payment was made.

7. Time of Service Performance

7.1. The subscription service is a continuing service and is deemed rendered at the end of each paid month. No acceptance certificates need to be signed: the service is deemed accepted if the Customer has not sent reasoned objections within five business days after the end of the month. For legal entities, documents are prepared upon request.

8. Termination of the Agreement

8.1. The agreement is terminated by mutual agreement of the parties, by the Customer’s unilateral withdrawal in accordance with Section 6, or by the Provider’s unilateral withdrawal in the cases provided for in clause 5.4 of this Offer and in the Terms of Use.

8.2. Upon termination on any grounds, the Provider, at the Customer’s request, transfers the website content, files and module data in commonly used formats within fourteen calendar days.

9. Liability

9.1. The Provider is liable for the availability of the website and the integrity of data up to the amount of the subscription fee for the month in which the breach occurred.

9.2. The Provider is not liable for interruptions caused by the actions of third parties — domain registrars, telecommunications operators, payment services — or by force majeure circumstances.

10. Final Provisions

10.1. This Offer is effective from the date of its publication until it is withdrawn by the Provider. Withdrawal does not affect agreements concluded before the withdrawal.

10.2. The Provider’s details and contacts are given on the “Company Details and Contacts” page.
